Kaley M. Ventura | Senior Counsel

Kaley has over a decade of experience advising public, private and tax-exempt employers on issues affecting a wide variety of benefit arrangements, including 401(k) plans, defined benefit plans, executive compensation arrangements and health and welfare plans.

Qualified Retirement Plans. Kaley regularly counsels clients on the design and day-to-day administration of qualified retirement plans, including plan document maintenance, governance and fiduciary matters, third-party service agreements, pension de-risking and correction of operational and fiduciary errors. Her work with qualified retirement plans includes representing clients in IRS and DOL examinations and advising clients on the impact of corporate transactions and reductions-in-force on existing retirement plans.

Executive Compensation. Kaley assists clients with the design and implementation of non-qualified deferred compensation plans, equity incentive plans, employee stock purchase plans, executive severance plans and executive employment agreements. She frequently advises clients on the application of the complex tax rules governing these arrangements, including Code Section 409A.

Health and Welfare Plans. Kaley also assists clients with matters relating to health and welfare plans, cafeteria plans, wellness programs and severance plans, including compliance with ERISA, the Internal Revenue Code, the Affordable Care Act, HIPAA, COBRA and the Mental Health Parity and Addiction Equity Act.
